These terms are an agreement between Baseplate Technologies Ltd, trading as Bonzino ("Bonzino", "we", "us"), company number 17333932, 66 Paul Street, London, EC2A 4NA, United Kingdom, and the business that signs up to run an affiliate programme on Bonzino (the "Merchant", "you"). The person who completes sign-up accepts them for the business and confirms they may do so. Everyone on your team is also bound by our Terms & Conditions, which these terms build on; where the two differ, these terms win for your programme.
Section 11 is a data processing agreement under UK and EU GDPR Article 28. It is part of these terms and is accepted with them.
1.1 Bonzino gives you an affiliate programme: links and discount codes for your affiliates, tracking of the customers they bring you, commission worked out from your Stripe sales under rules you set, a portal where your affiliates see what they have earned, and payouts prepared for you to pay.
1.2 Bonzino reads your sales through the Stripe account or accounts you connect with the Bonzino Stripe App. We never move your customers' money and never hold money owed to your affiliates: you pay your affiliates, from your own account, and record that you have in Bonzino.
1.3 A customer is credited to an affiliate as our tracking records it: by the most recent affiliate link clicked within the click window you choose, by an affiliate's discount code, or by an existing pairing between that customer and an affiliate. Every later payment by that customer is credited the same way for as long as they remain your customer, unless you change the pairing yourself.
1.4 Tracking depends on browsers, cookies, your website and the data Stripe sends us. We work hard to make it accurate and we do not guarantee it. If it fails, our obligation is to use reasonable efforts to correct it, and to let you correct a credit by hand.
2.1 A new merchant account starts with a 14-day free trial with every feature and no card needed. Nothing is charged during the trial, and sales made during it carry no Bonzino fee, even if they are recorded later.
2.2 We remind you before the trial ends. If a card is on file when it ends, your paid plan starts. If not, access ends three days after the trial, and the account is deleted 14 days after the trial ended unless you add a card first.
3.1 Your plan has two parts, both shown at sign-up and in your billing settings: a fixed monthly fee, and a percentage of the revenue your affiliates bring you. The percentage applies to every payment from a customer credited to an affiliate, for as long as they remain your customer, whether or not that payment earns the affiliate a commission under your rules. It does not apply to sales with no affiliate, to adjustments you make by hand, or to payments made during your trial.
3.2 When a credited sale is refunded or charged back, the fee on it is reduced by the same share, straight away.
3.3 You can see the fee building up during the month in your billing settings. The percentage part is charged in arrears, on your monthly bill, in US dollars; sales in other currencies are converted at the European Central Bank's rate for the day of the sale.
3.4 Our fees exclude VAT and similar taxes. Where we must charge tax, we add it to your bill and show it separately. You are responsible for any tax on what you pay your affiliates.
3.5 Your plan's fees stay as they were when you joined it until you change plan or we give you notice. If we change the fees of your plan, we will email you at least 30 days before the change, and it applies from your next billing period after that. You may cancel before it takes effect.
4.1 You pay by the card on file, monthly, and we email you an invoice for each bill. Fees paid are not refundable except where the law requires.
4.2 If a payment fails we retry it over about two weeks and tell you. You keep full access for 14 days after the retries fail. After that your account is suspended: your affiliates' links keep tracking and their commissions keep building, but you cannot use the dashboard, including to pay affiliates, until the bill is paid. Paying it unlocks everything as you left it.
4.3 A suspended account that stays unpaid is closed, and section 13 applies.
5.1 Every merchant has a referral link and code. When a business you refer becomes a paying Bonzino customer, you earn credit against your Bonzino bill at the rate shown in your dashboard, on what that business pays us, for as long as it keeps paying and you keep an account with us.
5.2 Credit waits for a 30-day window before it is applied, so that a refund can cancel it first. It is applied to your next bills, is never paid in cash, and cannot be transferred. Credit you have not used is lost when your account closes.
5.3 Referring your own business, or a business you own or control, does not count. Section 9.3 applies to how you promote us.
6.1 Your programme is yours. You set the commission rates, refund window, click window, payout schedule and minimum, and you decide who joins. Bonzino is not a party to the agreement between you and your affiliates. You will publish your own programme terms to your affiliates, and they will say that Bonzino makes no promise to your affiliates about tracking, commission or payment.
6.2 Pay what you owe. You will pay your affiliates the commission Bonzino records under your rules, on the schedule you set, unless you have a genuine reason not to, such as fraud or a refund, which you will record in Bonzino.
6.3 Give notice of changes. Any change that makes your affiliates' terms worse takes effect no sooner than 7 days after they are told. Bonzino enforces this and sends the emails for you.
6.4 Your website. If you install our tracking snippet, you are responsible for telling your visitors about the attribution cookie in your privacy notice, for including it in your cookie consent where the law requires (including PECR in the UK and ePrivacy law in the EU), and for obtaining any consent that law requires before it is set. The cookie is set on your own domain, is named _us_<your tracking key>_id, lasts as long as the click window you choose (up to 90 days), and exists only to credit a sale to an affiliate.
6.5 Your Stripe account. Keep it connected, and keep the products in Bonzino matched to the products you sell. If you disconnect it, sales stop being recorded and your affiliates stop being credited from that moment; we do not reconstruct the gap.
6.6 The law. You are responsible for your programme complying with the law where you and your affiliates operate, including advertising standards and tax on commissions.
7.1 Commission is recorded when a credited payment succeeds, waits for your refund window, and is then approved for payout. A refund or chargeback reverses the commission on the refunded share, before or after approval; if it was already paid, Bonzino records the amount to recover from the affiliate's next payout.
7.2 Where you believe a commission is fraudulent, you may hold it, reverse it, and archive the affiliate. Decisions about commission under your programme are yours. We may act independently where the conduct also breaks our Terms & Conditions, for example by suspending a login or disabling links across the platform.
7.3 Your affiliates have a direct relationship with Bonzino for their login, their portal and their payment details. We are the controller of that information. You are not a controller of your affiliates' personal information except for what your programme settings and your own records contain.
Each of us will keep the other's non-public information confidential, use it only for Bonzino, and protect it as we protect our own, for three years after the end of these terms, or indefinitely for trade secrets. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed.
9.1 Section 4 of the Terms & Conditions applies: Bonzino is ours, your content is yours, and you give us the right to use it to run the service for you.
9.2 We will not use your name or logo in our marketing without your written agreement. You may say you use Bonzino.
9.3 If you promote Bonzino, including through your referral link, do so honestly and within section 3 of the Terms & Conditions; do not bid on "Bonzino" in paid search, and disclose that you earn credit where the law requires.
10.1 We warrant that we will provide Bonzino with reasonable skill and care. Otherwise Bonzino is provided "as is" and "as available", without a service-level agreement, and section 9 of the Terms & Conditions applies.
10.2 You will indemnify us against third-party claims arising from your programme, your products, your content, your use of the tracking snippet, or your dealings with your affiliates or customers.
10.3 We will indemnify you against third-party claims that the Bonzino service, used as permitted, infringes a UK intellectual property right.
11.1 Roles. For personal information Bonzino processes on your behalf through the tracking snippet, the Stripe connection and the commission records, you are the controller and Bonzino is the processor. This section applies to that processing. For affiliates' account information and for our own records, Bonzino is the controller, as section 7.3 says.
11.2 What and why. We process: a random click identifier; a hashed IP address and browser language, for fraud prevention (the raw address is not kept); and the customer's email address and payment details that Stripe sends us, to credit sales to affiliates. We process it to record clicks, credit sales, work out commission and show you reports. No special-category data is involved. The processing lasts as long as your account does, plus the retention period in section 13.
11.3 Our duties. We process only on your documented instructions, which are these terms and your settings; keep it confidential; apply appropriate technical and organisational measures; help you answer data-subject requests and meet your security and impact-assessment duties, within the service's means; tell you of a personal-data breach affecting your data without undue delay and within 72 hours of confirming it; and delete or return your data at the end as section 13 says.
11.4 Sub-processors. You authorise the sub-processors listed in our Privacy Policy, which names each one, what it does for us and where it processes data. We will email you at least 30 days before adding or replacing one. If you object on reasonable data-protection grounds and we cannot resolve it, you may end these terms, and section 13 applies.
11.5 Transfers. Where data leaves the UK or the EEA we rely on an adequacy decision or on the UK Addendum to the EU Standard Contractual Clauses.
11.6 Your duties. You have a lawful basis for the processing, give your visitors a privacy notice that describes it, obtain any consent the law requires, and tell us promptly about data-subject requests and security incidents that concern data we hold for you.
11.7 Information. On request we will describe our security measures and our sub-processors in writing, and answer reasonable questions, once a year and after any incident. Requests go to privacy@bonzino.com.
12.1 Nothing in these terms limits liability that cannot legally be limited, including for death or personal injury caused by negligence, for fraud, or for anything the Unfair Contract Terms Act 1977 says cannot be excluded.
12.2 Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or opportunity. We are not liable for commission you owe your affiliates, for disputes between you and them, or for your customers' payments.
12.3 Our total liability to you under these terms in any 12 months is limited to the greater of the fees you paid us in the 12 months before the claim arose and £100. Your liability to pay our fees is not capped.
13.1 These terms run month to month. You can cancel at any time from your billing settings; your access continues to the end of the paid period, and nothing more is charged.
13.2 We may end these terms by email with 14 days' notice if you break them and do not put it right in that time, or immediately for fraud, unlawful use, or a serious breach of section 3 of the Terms & Conditions. Non-payment follows section 4 instead.
13.3 When your account closes: your affiliates' links stop working and your affiliates are told; commission already approved remains payable by you to them under your programme terms; and we keep your data for 90 days, during which you can reactivate the account exactly as it was or ask for a copy of your data. After 90 days we delete it, keeping only what the law requires us to keep (invoices and tax records), anonymised where we can.
13.4 Sections 3 (for fees already due), 5.2, 7.3, 8, 10, 11.3, 12, 13 and 15 continue after these terms end.
14.1 Every version has a version number and an effective date, previous versions stay readable on our website, and we record which version your business accepted and when.
14.2 We will email the owners of your account at least 14 days before a change to these terms takes effect, and at least 30 days before a change to the fees of your plan (section 3.5) or to our sub-processors (section 11.4). Changes that only correct, clarify or add something in your favour may take effect when published.
14.3 If you do not agree to a change, cancel before it takes effect. Using Bonzino after the effective date means your business accepts it.
15.1 These terms, the Terms & Conditions and the Privacy Policy are the whole agreement between us about your programme.
15.2 You may not transfer these terms without our written agreement, which we will not unreasonably refuse for a transfer of your whole business. We may transfer ours to a successor to our business, and will tell you if we do.
15.3 Neither of us is liable for failing to perform because of something outside our reasonable control. If it lasts more than 90 days, either of us may end these terms.
15.4 If any part of these terms is found unenforceable, the rest continues to apply. Not enforcing a right straight away does not mean we have given it up.
15.5 Notices go to the owners' email addresses on your account, and to us at hello@bonzino.com.
These terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
